In what scenario would an attacker choose not to Counter Attack if he was allowed to?

I think I know...

If a counter attack could cause a force retreat, the attacker/defender may choose not to do it. As, he may have better plans up his sleeve for the target unit.

Counterattack is optional in rules

I'm pretty sure it's because it can force a retreat.
