If I understand this card correctly, I am attacking a ship, and roll a black CRITICAL, I can exhaust the card to deal 1 FACE UP damage card even if the defender still has remaining shields on that target Hull Zone, correct?

Yes that's it. Deal a face up damage card, apply its effects (could get lucky and drop his largest shield) and then apply the normal damage

Yes. Also note that the black critical STILL counts as normal damage; that is, you don’t remove it from the pool. So if you fire a broadside from your GSD-I with Assault Proton Torpedoes at a target with 1 shield and 3 hull, and after all defense tokens are spent, all that’s left is one black die with the hit/crit face, then the total incoming damage is 2. You exhaust APT, and it deals one face-up card (as a non-standard Critical Effect), then your opponent loses his shield (1 damage), and then takes a card face-down (the second point of damage), and his ship is left on just one hull.
