Just like above, even if it were available on multiple ships it doesn't affect secondary weapons so you couldn't add a crit to an HLC shot with Keyan.

Any time one wonders about a question like this, one of my first stops is usually to look at how they'd function on inexpensive generics. In this case, my test case would be the 27-point Blue Squadron Pilot + ATC. A pair of those B-wings leaves 46 points in a standard list, which is just enough for Chewie + Threepio + MF title. That's close enough to some currently competitive lists that I'd definitely want to playtest it.
My other early stop in balance testing is usually to compare it to other items in the same slot, and other upgrades at a similar price. Popular systems include Advanced Sensors, which doesn't do much for your offense specifically but has no trouble finding a home at 3 points, and Accuracy Corrector, which we already have a good idea will be out-competed by ATC on high-PS TIE Advanced. So the opportunity cost probably isn't much of a mark against it.
What other upgrades cost 4-6 points? Gunner costs 5, occupies an equally competitive slot, and also offers a large benefit to offense. Lots of people take it at that price, so cost doesn't seem to be a mark against it. Opportunist costs 4 points, again sits in a very competitive slot, and offers a weaker but similar benefit with a trigger condition. ATC's benefit is better (a guaranteed crit, rather than an extra random result) and the trigger is easier to meet (in my control, rather than my opponent's). So it's probably more than just a point better, which makes it a balance concern.
(I'll skip some other 4-6 point upgrades I thought about, to keep this... Uh, shorter than it could have been, if not exactly short.)
Those upgrades tell us something else, though: you typically only run one of them in a list, on an expensive pilot. So that's an even more important place to look for balance issues than it might be otherwise. Would people be willing to combo it with Gunner on Whisper, in place of Fire Control System? It's just 3 extra points and it modifies both attacks, so they might. Corran will like it for the same reasons, even if it does come with an initial action cost.
That's enough that even without putting anything on the table, I'd say it's a big balance concern.

Yeah, but remember the 4 attack Phantom can't actually use the card without spending an extra 2 points for a targeting computer and becoming the glassiest cannon ever.
I think if you increase the cost to 6 it would have been quite useable and not overpowered on other system ships. It is a scary upgrade card to face for sure, but the TL requirement is a fairly annoying particularly if you are constantly having to change targets. Vader has less of an issue since he has the actions spare to use it. Most other pilots get stuck in terrible action economy land if they want to really make use of it.
I am in the "it could have worked camp", I'm certainly not in the OMG overpowered camp because frankly it isn't "that" bad (relative to other already available options like HLCs).
In fact given that the Punisher could certainly use access to it, it is something I would like to play test and play around with at home. The cost for non-advanced ships is a pretty big deterrent.
