What happends if all the heroes dies, and no one is left in the dungeon ?

If they still have Conquest Tokens then respawn in town and may use activated teleport to move in dungeon and continue. If lose all CT then OL wins
In RtL (Campaign Game) if heroes flee or all die then Dungeon finish may not be visited again.

In RtL they still have to declare a flee, even if they are all dead at the same time.

+1. All the Heroes can be dead, but unless they have declared they are fleeing they can go back into the dungeon viz glyphs.

As others have pointed out, nothing happens assuming the normal failure conditions have not been met. If the heroes are foolish enough to let it stay this way at the beginning of the OL's next turn, he can spawn pretty much anywhere he wants, barring Boggs.

So the hero with Boggs can go to town/die and leave Boggs in the dungeon covering LoS? I was under the impression that familiars can only be in the dungon when the hero is, although I'm not sure why I have that impression.
That was actually a very common impression given by the rules. HOWEVER....
Enter the Allmighty (and often confusing and frustrating) FAQ:
Q: What happens to the familiars when the owner dies? Where do they go when the owner returns from town to a glyph?
A: Familiars remain in the dungeon. The controlling hero may still move them as per normal.
Actually, apart from going into the Portal your familiar is stuck in the dungeon forever. There is also a ruling that familiars can't use glyphs, so if you want to take that to its ultimate, illogical conclusion if the Heroes ever flee a dungeon through the glyphs, I think the familiar is actually stuck there for the rest of its life because it has no way to get out.
I wonder if they should add a Pet Shop to the list of town buildings so you can keep replacing the ones you left behind in the dungeon when you fleed?
Familiars also can't use stairs, which poses a problem for moving them around multilevel dungeon areas (excepting the Shadow Soul, of course).
I honestly don't understand why a familiar, who can't be harmed by an attack or anything should be prevented from using a glyph or stairs?
I don't understand why small monsters can't use stairs either
